These terms govern the services Nextrobic Technologies provides: software development, SAP, mobile and web projects, cloud and DevOps work, and long-term support contracts. A signed proposal or contract for your project takes priority over these terms where the two differ.
1. Scope of work
Every engagement starts with a written proposal that sets out the scope, deliverables, milestones, price and timeline. Work outside that scope is quoted separately before it starts.
2. Your responsibilities
- Provide timely feedback, content, credentials and access needed for the work.
- Name a single person who can approve designs, milestones and releases.
- Make sure you have the rights to any content, data or brand assets you give us.
3. Fees and payment
- Projects are billed by milestone as set out in the proposal.
- One-year and two-year contracts are billed monthly in advance at the agreed fee.
- Prices exclude GST and other taxes, which are added where legally required.
- Invoices are due within 15 days. Work may pause on accounts more than 30 days overdue.
4. Ownership
Once paid in full, you own the custom source code, designs and documentation we create for you. We keep the right to reuse general know-how, libraries and tools that are not specific to your business.
5. Confidentiality
We keep your business information, data and credentials confidential and use them only to deliver the work. We are happy to sign a separate NDA.
6. Warranty
We fix defects in delivered work free of charge for 30 days after launch. After that, fixes and changes are covered by a support contract or billed as new work.
7. Liability
To the extent permitted by law, our total liability is limited to the fees paid for the affected work in the twelve months before the claim. We are not liable for indirect or consequential loss.
8. Contract term and termination
One-year and two-year contracts run for the agreed term. Either party may end a contract early for a material breach that is not fixed within 30 days of written notice. On termination we hand over all code, documentation and access.
9. Governing law
These terms are governed by the laws of India, with courts in Gujarat having jurisdiction.
